SAMPLE CONSTITUTION FOR A TIMESHARE OWNERS ASSOCIATION(To be ratified at the First General Meeting of the Association)1. The name of the association is _________________ , which is an unincorporated association linking timeshare owners of --___________________________ 2. The principal office will be at such address as the Committee shall decide. 3. The principal objectives of the association are to promote and protect the interests of timeshare owners of ____________________________ . 4. Membership is open to any individual owning or having an interest in ________________________ . 5. The association will be managed by a committee initially appointed at its inaugural meeting but elected by the membership at subsequent Annual General Meetings. The Committee will consist of not less than five and not more than ten members. At every second and subsequent Annual General Meeting one third of the committee members (to the nearest whole number) shall resign but provided they have not served more than two terms may offer themselves for re-election. The officers, who shall be appointed annually by the committee from amongst its members, shall be Chairman, Secretary and Treasurer. The Committee shall have the power to co-opt members to the Committee. Members co-opted to replace existing members will be required to resign at the time that the replaced member(s) would have been required to resign, but other co-opted members must stand for election at the next following Annual General Meeting. The committee will have the power to decide on the method of admittance of members to _____________ and the terms of admittance, including any subscriptions, etc. Rejected applicants will have the right of appeal to the next Annual General Meeting. 6. The Treasurer shall be responsible for the management of, and account for, all the Association’s funds and any bank account must require at least two committee members or officers to sign. The Committee will have the authority to incur expenditure only within the funds available to the Association. At every Annual General Meeting except the first the Treasurer shall submit to the members for their approval the audited accounts of the Association for the financial year ending on the previous 31st March. 7. An Annual General Meeting shall be held in each calendar year. Not less than 21 days’ notice of such meetings shall be given. All paid-up members shall be entitled to attend and to vote. Individual members shall be entitled to one vote and where there is a joint membership, only one vote shall be cast. Proxy or postal voting shall be available to any member not able to attend. 8. A Special General Meeting must be called by the Committee on the requisition of not less than 10% of the paid-up membership. 21 days’ notice shall be given of any Special General Meeting. 9. The register of members shall be made available for inspection by any member at any General Meeting of the Association or by appointment only at the Association’s office. 10. In the event that circumstances arise in which the Committee feels that the Association should be wound up, a Special General Meeting shall be called. Decisions taken thereat regarding the future of the club and the possible disposal of any funds shall be decided by a simple majority of those voting in person, by post or by proxy. 11. After this Constitution has been ratified at the first Annual General Meeting of the Association, no alteration to the provisions hereof shall be made without the approval of 75% of the members voting in person, by post or by proxy at any General Meeting. |
